Acceptance of Terms

By accessing and using Sozo Labs services, you accept and agree to be bound by the terms and provisions of this agreement.

By using or visiting the website, products, software, data feeds, and services provided by Sozo Labs Private Limited, you signify your agreement to:

• These terms and conditions (the "Terms of Service"); and
• Sozo Labs Private Limited's Privacy Policy.

If you do not agree to any of these terms or the Privacy Policy, please do not use the Service. The Service encompasses all products and services offered by Sozo Labs Private Limited, collectively referred to as the "Service" in these Terms of Service.

Sozo Labs Private Limited may, in its sole discretion, modify or revise these Terms of Service and policies at any time, and you agree to be bound by such modifications or revisions. Nothing in these Terms of Service shall be deemed to confer any third-party rights or benefits.

Accounts

In order to access some features of the Service, you will have to create an Account. You may never use another's account without permission. When creating your account, you must provide accurate and complete information.

You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify Sozo Labs Private Limited immediately of any breach of security or unauthorized use of your account.

Although Sozo Labs Private Limited will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of Sozo Labs Private Limited or others due to such unauthorized use.

General Use — Permissions & Restrictions

Sozo Labs Private Limited hereby grants you permission to access and use the Service as set forth in these Terms of Service, provided that you agree to the following:

• You agree not to distribute in any medium any part of the Service or the Content without Sozo Labs Private Limited's prior written authorization.
• You agree not to alter or modify any part of the Service.
• You agree not to access Content through any technology or means other than those explicitly authorized by Sozo Labs Private Limited.
• You agree not to use the Service for commercial purposes — including sale of access, advertising, or sponsorships — without prior written approval from Sozo Labs Private Limited.

• In your use of the Service, you will comply with all applicable laws.

Sozo Labs Private Limited reserves the right to discontinue any aspect of the Service at any time.

Your Use of Content

Your Content & Conduct

You shall be solely responsible for your own Content and the consequences of submitting and publishing your Content on the Service. You affirm that you own or have the necessary licenses, rights, consents, and permissions to publish Content you submit.

By submitting Content to Sozo Labs Private Limited, you grant Sozo Labs Private Limited a worldwide, non-exclusive, royalty-free, sub-licensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Content in connection with the Service and its business.

You further agree that Content you submit will not contain third-party copyrighted material or material subject to third-party proprietary rights unless you have permission from the rightful owner.

With respect to Content, you are prohibited from uploading, publishing, or sharing any information that:

• Belongs to another person and to which you do not have any right;
• Is obscene, pornographic, paedophilic, or invasive of another's privacy;
• Is insulting or harassing on the basis of gender, race, or ethnicity;
• Harms minors in any way;
• Infringes any patent, trademark, copyright, or other proprietary rights;
• Deceives or misleads the addressee about the origin of messages or communicates patently false information;
• Impersonates another person;
• Threatens the unity, integrity, defence, security, or sovereignty of India;
• Contains software viruses or malicious code designed to interrupt or destroy any computer resource; or
• Violates any law for the time being in force.

Account Termination Policy

Sozo Labs Private Limited will terminate a user's access to the Service if, under appropriate circumstances, the user is determined to be a repeat infringer.

Sozo Labs Private Limited reserves the right to decide whether Content violates these Terms of Service for reasons other than copyright infringement — such as, but not limited to, pornography, obscenity, or excessive length — and may at any time, without prior notice and in its sole discretion, remove such Content and/or terminate a user's account.

Copyright Policy

Sozo Labs Private Limited respects the intellectual property rights of others and we expect you to do the same. Your account may be suspended or terminated for multiple copyright violations or other violations of these Terms.

Copyright Infringement Notification

If you believe that your copyright-protected work was posted on any platform managed by Sozo Labs Private Limited without authorization, you may submit a copyright infringement notification to our grievance officer. The notification must include:

• Contact details (email address, physical address, or phone number);
• A clear description of the work you believe has been infringed;
• The URL or identifying location of the allegedly infringing work;
• A statement of good faith belief that the use is unauthorized;
• A statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorized to act on their behalf; and
• Your physical or electronic signature.

Copyright Infringement Counter-Notification

If you receive a copyright infringement notification you believe is in error, you may submit a counter-notification including your full legal name, contact information, the URL of the removed work, and the following statement:

I swear, under penalty of perjury, that I have a good faith belief that the material was removed or disabled as a result of a mistake or misidentification of the material to be removed or disabled.

The counter-notification process may take up to 10 business days. The entire counter-notice, including personal information, may be forwarded to the copyright claimant. The decision to re-post any material is at our sole discretion.

Warranty Disclaimer

YOU AGREE THAT YOUR USE OF THE SERVICES SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, SOZO LABS PRIVATE LIMITED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS EXCLUDE ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF. SOZO LABS PRIVATE LIMITED EXCLUDES ALL WARRANTIES, CONDITIONS, TERMS, OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS SITE'S CONTENT OR THE CONTENT OF ANY SITES LINKED TO THIS SITE AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; PERSONAL INJURY OR PROPERTY DAMAGE; UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS; ANY INTERRUPTION OR CESSATION OF TRANSMISSION; BUGS, VIRUSES, TROJAN HORSES TRANSMITTED THROUGH THE SERVICE; OR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF USE OF ANY CONTENT POSTED OR TRANSMITTED VIA THE SERVICES.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SOZO LABS PRIVATE LIMITED, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM YOUR USE OF OR ACCESS TO THE SERVICES, INCLUDING ANY ERRORS OR INACCURACIES IN CONTENT, UNAUTHORIZED ACCESS TO SECURE SERVERS, INTERRUPTION OR CESSATION OF TRANSMISSION, OR BUGS OR VIRUSES TRANSMITTED THROUGH THE SERVICE.

The Service is controlled and offered by Sozo Labs Private Limited from its facilities in India. Sozo Labs Private Limited makes no representations that the Service is appropriate or available for use in other locations. Those who access or use the Service from other jurisdictions do so at their own volition and are responsible for compliance with local law.

Indemnity

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Sozo Labs Private Limited, its parent corporation, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Service;
• Your violation of any term of these Terms of Service;
• Your violation of any third-party rights, including without limitation any copyright, property, or privacy right; or
• Any claim that your Content caused damage to a third party.

This defense and indemnification obligation will survive these Terms of Service and your use of the Service.

You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into these Terms of Service. In any case, you affirm that you are over the age of 13, as the Service is not intended for children under 13.

General

You agree that the Service provided by Sozo Labs Private Limited shall be deemed solely based in India, and that the laws of India, excluding India's choice of law rules, will apply to these Terms of Service.

For any dispute arising out of or related to the Service, the parties consent to personal jurisdiction in, and exclusive venue of, the courts in Mumbai, India.

These Terms of Service, together with the Privacy Policy and any other legal notices published by Sozo Labs Private Limited on the Service, shall constitute the entire agreement between you and Sozo Labs Private Limited concerning the Service.

YOU AND SOZO LABS PRIVATE LIMITED AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

These Terms may not be transferred or assigned by you, but may be assigned by Sozo Labs Private Limited without restriction. If any term is found to be unenforceable, this will not affect any other terms.

Changes to these Terms

Sozo Labs Private Limited reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the website, app, or any other part of the Service.
